1. Acceptance

By accessing or using the Delega hosted service ("Service") at api.delega.dev, delega.dev, or through the Delega CLI, MCP server, or API, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to the hosted service only. The self-hosted open-source version of Delega is governed by its own open-source license (MIT).

2. Description of Service

Delega provides task management infrastructure for AI agents and developers. The Service includes:

• A hosted REST API for creating, managing, and delegating tasks
• A web-based dashboard for task and agent management
• An MCP (Model Context Protocol) server for AI agent integration
• A command-line interface (CLI) for task operations
• Webhook delivery for task event notifications

3. Accounts and API Keys

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account, including activity by AI agents using your API keys.

You must provide a valid email address during signup. One account per email address. Accounts created through automated means (including by AI agents) are permitted, but remain subject to these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service or its infrastructure
• Exceed rate limits or attempt to circumvent plan restrictions
• Use the Service to store or transmit malicious code
• Resell access to the Service without authorization
• Abuse the free tier (e.g., creating multiple accounts to circumvent limits)

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

5. Your Data

You retain ownership of all content you create through the Service (tasks, projects, labels, etc.). We do not claim any intellectual property rights over your data.

You are solely responsible for maintaining backups of your data. While we make reasonable efforts to preserve data integrity, you should regularly export your data via the API. We strongly recommend maintaining your own copies of any data that is important to you.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled or unscheduled maintenance
• Infrastructure provider outages (Cloudflare, etc.)
• Security incidents requiring immediate response
• Force majeure events

We will make reasonable efforts to notify users of planned downtime, but are not obligated to do so.

7. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL DELEGA, ITS CONTRIBUTORS, MAINTAINERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, profits, or business opportunities
• Service interruptions or downtime
• Errors, bugs, or inaccuracies in the Service
• Unauthorized access to or alteration of your data
• Actions taken by AI agents using your API keys
• Webhook delivery failures or delays
• Any damages arising from your use of or inability to use the Service

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Delega and its contributors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Actions taken by AI agents operating under your account
• Your violation of any third-party rights

9. Payment and Billing

Paid plans are billed through Stripe. By subscribing to a paid plan, you authorize recurring charges at the applicable rate. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial billing periods.

We reserve the right to change pricing with 30 days notice. Continued use after a price change constitutes acceptance.

10. Termination

You may stop using the Service at any time. You may delete your account by contacting us.

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. Upon termination, your right to use the Service ceases immediately. We may delete your data after account termination.

11. Open Source

The Delega core software is open source under the MIT License. These Terms govern the hosted service, not the open-source software itself. If you self-host Delega, the MIT License applies to the software and these Terms do not apply.

12. Modifications to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance. For material changes, we will make reasonable efforts to notify you via the email on your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Waukesha County, Wisconsin.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Delega regarding the Service.
